ARIS User Group Charter
Article I (Name, Purpose)
This organization shall be called the ARIS Users Group (AUG). The purpose of the AUG is to share ideas, promote collaboration and exchange knowledge in business process management concepts expressed in ARIS products, and to disseminate guidelines and best practices to Group members.Article II (Members)
Any corporation, organization or enterprise interested in process management using the ARIS product line may become a member of the AUG. Members are entitled to vote on AUG motions and resolutions, one vote per member.Members are accepted into AUG by majority vote of members present at a regular meeting. The Secretary will maintain a current list of members as Appendix 1 to this Charter. Membership in AUG terminates when participation ceases for a period of four consecutive months without prior notification to the Chairperson.
Article III (Participants)
Participants are individuals employed by or otherwise associated with members. AUG will be organized and operated entirely by volunteering participants. There is no limit to the number of participants in AUG.Roles: AUG officers will be nominated from among AUG participants.
Responsibilities: AUG participants will be responsible for sharing information regarding:
- Best practices in the area of Business Process Management,
- Business Modeling standards,
- Governance models and strategies,
- Business Architecture framework.
Article IV (Governance)
ELECTIONS. AUG members will elect two officers, a Chairperson and a Secretary, from participants nominated to serve in those positions. A majority of members voting is required to elect an officer. Elections will be held in the last month of each officer's term. In the event an officer leaves the member company before the end of his/her term, a replacement shall be nominated within seven days of the end of the participant's employment, and a vote taken at the next regular meeting. The newly elected officer will fill the unexpired term of the departing officer.TERM. Each officer will serve for a term of one year, commencing on the first day of the month following their election and ending on the last day of the twelfth month. Officers may not serve consecutive full terms, except that officers may serve one full term and the remaining unexpired term of a departing officer. Members are limited to one officer in any given month.
CHAIRPERSON. The Chairperson will conduct regular meetings and distribute a meeting agenda prior to each meeting. The Chairperson is responsible for the expeditious treatment of action items and other business of AUG.
SECRETARY. The Secretary shall record the business conducted at all meetings and shall announce the presence of a quorum. The minutes will be published by the end of the month in which the meeting was held.
Article V (Rights of Participants)
- Each participant in AUG meetings has the right to offer individual or differing opinions concerning any matter within the scope of the Group's activities.
- All AUG business will be conducted publicly. Confidentiality of specific issues may be requested by AUG participants.
Article VI (Conduct of Business)
- Except as otherwise specifically provided, all matters coming before the ARIS Users Group shall be decided by a majority vote of the total members present.
- A quorum exists when fifty percent (50%) of the members are present at AUG meetings. A quorum must be present to conduct formal voting. A member may issue a written power of proxy to another member to exercise. The Secretary must be in possession of the proxy prior to the meeting. No other form of proxy shall be permitted.
- This charter may be amended by affirmative vote of at least seventy-five percent (75%) of all members. Appendices to this charter may be amended at any time, by direction and consent of the Chairperson and Secretary.
Article VII (Meetings)
REGULAR MEETINGS: Regular meetings will be conducted monthly. The Chairperson is responsible to see that at least one of the following topics is presented at each meeting:- Business Process Management Learnings
- Functional/Technical Discussion
- Success stories
Article VIII (Dissolution)
The ARIS Users Group may be dissolved upon the affirmative vote of at least seventy-five (75%) of all members.More
